Welcome to Looom  (“the Platform,” “we,” “us,” or “our”). The Platform is owned and operated by AD-DIGITAL Technologies (Pty) Ltd, a private company registered in South Africa .

These Terms of Service (“Terms”) govern your access to and use of the Platform, including all associated services, AI modules, dashboards, and integrations. By accessing or using the Platform, you acknowledge and agree that you are bound by these Terms. If you do not agree, you may not access or use the Platform.

1. Acceptance of Terms

By creating an account, accessing, or using the Platform, you agree to:

• Do not misuse AI-generated insights, risk scoring, or reporting outputs.
• Do not attempt to access or interfere with other users’ accounts, systems, or data.
• Comply with all applicable data protection laws (e.g., GDPR, POPIA).

5. Platform Use

• Looom AI may include:
  • Risk Library & Analytics: Manage, categorize, and analyze risks.
  • AI Modules: Generate insights, reports, and email drafts.
  • Reporting & Dashboards: Exportable, audit-ready dashboards.
  • Integrations: ERP, email, cloud storage, or other third-party systems.
• You agree not to reverse engineer, decompile, or attempt to replicate AI models or proprietary Platform components.

6. AI Use & Disclaimers

• AI modules provide guidance, insights, and suggestions, but outputs are not legal, financial, or regulatory advice.
• Human review is required before finalizing reports, client communications, or audit actions.
• We do not store AI input data for model training unless explicitly stated. Temporary retention may occur for monitoring, security, and performance optimization.
• AI-generated outputs may have limitations and should be verified by qualified personnel.

7. Data Privacy & Security

• All personal and client data is handled according to our Privacy Policy.
• Data is encrypted at rest and in transit using industry-standard protocols.
• Role-based access control ensures only authorized personnel access sensitive data.
• You retain ownership of your data; we act as data processor where applicable.

8. Intellectual Property

• The Platform, AI models, software, trademarks, logos, and content are owned by Looom AI or our licensors.
• You may not reproduce, distribute, sell, or modify any Platform components without explicit permission.
• AI-generated outputs remain the intellectual property of the client or user, subject to your compliance with these Terms.

9. Payment & Fees

• Platform access may be subscription-based, per-user, or transaction-based.
• Fees are outlined in your subscription agreement or invoice.
• Late payments may result in suspension or termination of account access.
• All fees are non-refundable unless otherwise stated.

10. Termination

• We may suspend or terminate accounts for:
  • Breach of these Terms.
  • Unauthorized use or security violations.
  • Non-payment or fraudulent activity.
• Users may terminate accounts by contacting support and following termination procedures.
• Upon termination, your access to the Platform ends, but audit logs and AI processing records may be retained for compliance purposes.

11. Warranties & Disclaimers

• The Platform is provided “as is” and “as available.”
• We do not guarantee:
  • Uninterrupted or error-free service.
  • Accuracy, completeness, or reliability of AI-generated outputs.
• You are responsible for validating results and complying with applicable laws and internal policies.

12. Limitation of Liability

• To the maximum extent permitted by law, we are not liable for:
  • Indirect, incidental, consequential, or special damages.
  • Loss of profits, revenue, or data.
  • Actions taken based on AI outputs without human verification.
• Total liability is limited to the amount paid for the Platform services in the 12 months preceding the claim.

13. Indemnification

• You agree to indemnify and hold harmless Looom AI and its affiliates from any claims, damages, or losses arising from:
  • Your use of the Platform.
  • Breach of these Terms or applicable laws.
  • Misuse of AI-generated outputs.

14. Third-Party Services

• The Platform may integrate with third-party services (e.g., ERP, email systems, AI APIs).
• We are not responsible for errors, security breaches, or downtime caused by third-party systems.
• Your use of third-party services is subject to their respective terms and policies.

15. Modifications to Terms

• We may update these Terms periodically to reflect:
  • New features or services.
  • Regulatory changes or legal requirements.
• Updated Terms will be posted on the Platform, and continued use constitutes acceptance.

16. Governing Law & Dispute Resolution

• These Terms are governed by the laws of South Africa.
• Any disputes arising from these Terms or use of the Platform will first be addressed via good-faith negotiations.
• If unresolved, disputes may be submitted to arbitration or courts as per local laws.
